RADIANT TERMS & CONDITIONS

This Terms and Condition is entered into by and between you as the customer (the “you”, “user”) and Radiant (“we”, “us” or “Radiant”), and is provided to you through www.radiant.gg or other website that provides APIs, the desktop applications made available by Radiant and other services channels in the future (the “App”). The Radiant Service allows users who are registered on the App (“Registered User(s)”), to engage with Radiant quests and earn rewards (as defined below) as a result of their in-platform activity. The Radiant Service is intended for use by people who are both (i) at least 18 years of age and (ii) of legal age in their jurisdiction. If you are not both at least 18 years of age and of a legal age in your jurisdiction, do not use the Radiant Service. Radiant shall not be responsible for any consequences and/or damages you may incur in breach of the foregoing.

By registering to, using or accessing the App you represent and warrant that: (i) when using or accessing the Radiant Properties all information you submit is truthful and accurate and you shall maintain the accuracy of such information; (ii) to the extent that you are not 18 years of age or older (or otherwise are at the age of majority in your jurisdiction) you have your parent’s or legal guardian’s permission to enter into these terms, or otherwise have the ability to form a binding contract with us; and (iii) your use or access of the App does not violate these terms or any applicable laws or regulations or any obligation you may have to a third party.

Please read carefully the following provisions of these terms of use and the Radiant privacy policy available at https://radiant.gg/privacy-policy (“Privacy Policy”) (these terms of use together with the Privacy Policy shall collectively be referred to as “Terms of Use”) which shall govern any and all use of the Radiant Service, the App and the Radiant website located at www.radiant.gg (the “Website” and together with the Radiant Service and the App – the “Radiant Properties”). Registered Users and users of the Website are referred to herein as “Users”, “you” or “your”, applicable. This is a legally binding agreement between you and Radiant regarding your access to and use of any Radiant Properties. In order to use and/or access the Radiant Properties, you must first review and agree to these Terms of Use. If, at any time you do not agree to these Terms of Use, you must immediately delete your account from the App and terminate your use of and access to the Radiant Properties. Radiant reserves the right to deny access, suspend or terminate any User which does not comply with these Terms of Use, at its sole discretion.

These Terms of Use are subject to unilateral change, modification or replacement by Radiant at any time, at its sole discretion, effective upon notice on the App or Website. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Radiant Properties following the posting of any changes to these Terms of Use will constitute your acceptance of those changes.

Radiant shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Radiant Service or any portion thereof. Certain Radiant Services components are powered by Overwolf, with respect to which additional terms may apply as shall be presented to you and accepted by you in the scope of your use of the Radiant Services, including but not limited to the Overwolf’s Terms of Service (http://www.overwolf.com/legal) and any other terms incorporated by reference therein (“Additional Terms”), all of which are incorporated by reference in these Terms of Use. If there is a conflict between these Terms of Use and any Additional Terms, to the extent they apply to the Radiant Service, the Additional Terms will prevail.

The Service

Radiant Service offers you the opportunity to play video games with the additional benefit to accumulate Gems points through participating in Radiant’s in-platform activities. Gems points can only be earned and cannot be purchased with fiat. Users may redeem Gems points for rewards offered by Radiant Service and Radiant’s partners on the “Radiant Shop” . Gems point is a loyalty rewards points and does not warrant as a digital payment token.

In order to become a Registered User and enjoy the Radiant Service, you must first download and install the APP and register to the Radiant Services. After clicking on “LOG IN” button you will be asked to provide your credentials in order to sign in on the App, including but not limited to, your email account or socials account, and once provided, your personalized profile with Radiant will be created and associated to your User (the “Profile”). In order to enjoy the Radiant Service you must act according to one of the following scenarios:

If you are an Overwolf user and have the Overwolf Appstore software with Radiant Application software installed, simply launch a supported game (the “Game”) and start playing on any server. As long as Overwolf Appstore software with Radiant Application software is running in the background of your PC, you will accumulate points for your based on the selected activities you have chosen to participate on the Radiant Service.
If you are not an Overwolf user and do not have Overwolf Appstore software with Radiant Application software installed, you have to download and install it clicking on “Get it on OVERWOLF”. Once installed, you shall proceed to scenario no. 1.

Radiant will not be responsible for technical, hardware or software malfunctions, lost or unavailable network connections, or disconnects, which are under the responsibility of any other third party.

Your Information

By agreeing to these Terms of Use, you hereby undertake that you do not and shall not

Sign in to the App by using false or another person’s information.
Register more than one time.
Use Profiles of any other App users.
Submit to the App any material that is unlawful, obscene, defamatory, libellous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate.
Post advertisements or solicitations of business.
Use the Radiant Service for any purpose that is unlawful or otherwise prohibited by these Terms of Use.
Login from an unauthorized territory using proxy, VPN or and other services that mask your true geographical location.

You acknowledge and agree that you are solely responsible to provide true and accurate information and that Radiant is not responsible to you or to any third party in connection with incorrect information you may have submitted or used in connection with your use and access to the Radiant Properties. By registering on the App, you represent and warrant that: (i) You specifically authorize Radiant to collect and process information in accordance with the terms of the Terms of Use; (ii) the information provided (to the extent provided by you) is accurate and complete and you will update it when it changes; and (iii) you have the full right and authority to submit the information you provided or otherwise made available to the Radiant Properties, without any infringement of, or conflict with, the rights of any third party. If you are using the App and/or the Radiant Service on behalf of a company, entity, or organization (the “Customer”), you represent and warrant that you are an authorized representative of the Customer, having the authority to bind the Customer to these Terms of Use. In the event you are using the App and/or the Radiant Service on behalf of a Customer, all references to “you” or “User” in these Terms of Use shall be construed to mean you, the Customer, and any other individual that uses the App and/or the Radiant Service on behalf of or through authorization from the Customer.

You agree to carefully safeguard and be solely responsible for maintaining the confidentiality of your access credentials to the Radiant Service and for restricting access to any device through which you access the Radiant Service in order to prevent unauthorized access to your Profile therein. You must notify Radiant immediately of any unauthorized use of your Profile or of any other breach of security, and you accept all risks of any unauthorized access to the Radiant Service. Radiant cannot and will not be liable for any loss of data or other damage arising from any failure by you to comply with these Terms of Use, including if someone else accesses your Profile or makes any other unauthorized use of your Profile or performs any other breach of security as a result of unauthorized access to any access credentials held by you.

Radiant reserves the right to authenticate and validate your information through Gmail, Discord, Steam, Facebook and any social networks or other methods and to request any additional information as it may deem required at its sole discretion. Radiant may also, at its sole discretion, refuse the registration of any User.

Radiant may occasionally offer sign-up or registration bonuses when a user creates an account. These bonuses are available to new users only and may be communicated to you when applicable. We reserve the right to end or withdraw any registration bonuses at our sole discretion.

Data Usage & Commercialization

By using the Radiant Service, you acknowledge and agree that gameplay data, including but not limited to event logs, in-game behavior, performance metrics, and metadata, may be anonymized, aggregated, and used by Radiant for commercial purposes. This includes, but is not limited to, training AI models, generating insights for third-party partners, and contributing to datasets used in machine learning applications

Intellectual Property

All intellectual property rights in Radiant Service are the property rights of Radiant and its respective third-party licensors. Radiant grants to you a non-exclusive, non-transferrable, and revocable right to access and use the services made available by Radiant on the Radiant Service for your personal purposes. You are strictly prohibited from re-selling or re-providing the Gems Points to any other person.

These Terms and Conditions do not confer you any right to use any trademark(s) or product/service trade name(s) that are owned or registered by Radiant. All content included on the App, including without limitation any text, graphics, logos, button icons, images, data compilations, and software, and the compilation of all such content, and all modifications, enhancements and derivatives thereof and all intellectual property rights thereto is the sole and exclusive property of Radiant or its licensors and protected by international copyright laws. Written approval must be obtained from Radiant prior to any use of such trademark(s) or product/service trade name(s).

Save as provided herein, nothing in these Terms and Conditions shall be construed or deemed as granting or providing to you any right, license, interest, or permission to deal with any intellectual property right of Radiant in any way including, without limitation, the right to copy, de-compile, transfer, publish, store, create derivative works or use the same and the right to use the Radiant Service in an unauthorised manner. You shall not reverse engineer or attempt to reverse engineer any Radiant Service. You shall promptly notify Radiant if you are aware of any third parties engaging in the aforementioned activities.

Community Challenges & Tournaments

Radiant may host community challenges & tournaments from time to time. Participating users will have a chance to win different prizes. These challenges may be hosted in different formats that will be announced ahead of time. Radiant reserves the right to terminate the campaign at any time at its sole discretion without any notice. Prizes and rewards will differ between each challenge. Users may be required to provide additional details as requested by Radiant to participate in th. The rewards of each challenge may be changed by Radiant, in their sole discretion and without prior notice. Radiant may disqualify any winner that does not, in its sole discretion, satisfy the foregoing requirements. Additionally, Radiant has the right to exclude and disqualify any accounts which are suspected of fraud or any manipulation. Radiant shall have no obligation to justify or explain the disqualification of any user. Games will also differ between each challenge and will be announced separately. Some challenges may include several games. Some game modes (within the participating games) may be prohibited (announced per challenge). Only eligible game modes can participate. Subject to the foregoing, by sharing any content related to such programs, participants grant Radiant, and relevant challenge associates and their agents a worldwide, exclusive, royalty-free, perpetual and irrevocable license to copy, modify, create derivative works, publish, display, broadcast, rebroadcast, and distribute such content for any purpose, including but not limited to their name and likeness. Radiant shall not be liable for any delay in performing or partial or total failure to perform any of its obligations to the participants under the challenge rules if such delay or failure is caused by circumstances beyond its reasonable control including without limitation delays, changes, disruptions, cancellations, diversions or substitutions however caused, including without limitation, as a result of war, terrorist action, strikes, hostilities, civil commotions, accidents, fire, flood or natural catastrophes. Radiant may amend the Official Challenge Rules at any time in its sole discretion by posting an amended version thereof.

Your liability & indemnification of Radiant

You shall be solely liable for all of your activity in connection with the Radiant Service or App. You agree to defend, indemnify and hold Radiant and anyone on its behalf, including but not limited to, all of its owners, managers, officers, affiliates, employees, licensors and suppliers harmless against any losses, expenses, costs, claims, damages (including attorneys’ fees, expert fees’ and other costs of litigation) arising from, incurred as a result of, or in any manner related to: (i) any use of your account and/or your use of the Radiant Properties; (ii) any third party claim in respect of your use of the Radiant Properties; (iii) any breach of the Terms of Use.

You agree to immediately notify Radiant by contacting our Customer Care Support in the event there is any fraudulent or unauthorised use of your password or Radiant account or any other breach of security that may but not limited to, resulting in the lost of your Gems points. Our Customer Care Support shall immediately suspend your Radiant account and investigate your complaint and respond to you as soon as possible. However, Radiant shall not be liable to compensate your loss as it is your duty to take the necessary precautions to safeguard your password.

In addition, Radiant reserves the right, at its sole discretion, to cancel or suspend the result of any Contest and any won Radiant Points, should virus, bugs, unauthorized human intervention, or other causes corrupt administration, security, fairness, integrity or proper operation of the Game.

Radiant shall not be held responsible or liable for any damage, loss, or destruction of data, software, hardware, or any other property caused by computer viruses, spyware, scareware, trojans, worms, other malware programs, or any form of cyber attack. Users are responsible for implementing sufficient protective measures and security protocols to safeguard their devices and data when using the Radiant service.

No Warranty

By participating in the contest to receive the gift box on our platform, you acknowledge and agree that your participation is entirely at your own risk. We make no representations or warranties regarding the gift box, including, but not limited to, their availability, functionality, or stability. Specifically, we do not warrant or guarantee the following:

a. The ability to use or redeem the Codes;
b. Delays or interruptions in accessing or redeeming the Codes on the system;
c. The value of the rewards or any associated risks;
d. The availability of rewards or Codes, which may be subject to geographical restrictions;
e. Any actions or omissions by third-party service providers.

Limitation of Liability

Under no circumstances shall we be liable for any losses or damages (whether direct, indirect, incidental, consequential, or otherwise) arising out of or in connection with:

a. The ability to use or redeem the Codes;
b. Delays or interruptions in accessing or redeeming the Codes on the system;
c. The value of the rewards or any associated risks;
d. The availability of rewards or Codes, which may be subject to geographical restrictions;
e. Any actions or omissions by third-party service providers.

By participating in the gift box giveaway and/or using the Codes, you agree that any claim or dispute arising from this promotion or the Codes shall be exclusively between you and the applicable third-party provider, and not with us.

Release of Liability

By accepting a gift box, you waive and release us from any liability, claim, or demand arising out of or in connection with your participation in this giveaway and/or your use of the gift box contents or Codes.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or the functionality of the Codes.

Notwithstanding anything to the contrary in these terms, and to the fullest extent permitted by law, the total aggregate liability of us and our officers, directors, employees, and agents (collectively, the “Organizer”) for any claims arising out of or relating to this giveaway and/or the use of any prize or gift shall be limited to the actual retail value of the prize or gift awarded. In no event shall the Organizer be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the giveaway, whether such liability is based on breach of contract, tort (including negligence), or otherwise, even if the Organizer has been advised of the possibility of such damages.

Jurisdiction

Without limiting the foregoing provisions, you understand that laws regarding contracts vary throughout the world, and it is your sole responsibility to make sure you properly comply with any law, regulation or guideline in your country of residence regarding the use of the App or Radiant Service. To avoid any doubt, the ability to access our App does not necessarily mean that our Radiant Services and/or your activities through the App are legal under the laws, regulations or directives relevant to your country of residence. Internet video Gaming may be illegal in the jurisdiction in which you are located; if so, you are not authorized to use Radiant Service, including in the event that use of Radiant and its functionality is not legal in the territory in which you are located. Radiant shall not be responsible for any damages you may incur in breach of the foregoing. Radiant may block and/or limit some or all functionalities to certain jurisdictions from time to time at its sole discretion to comply with regulations

These Terms of Use are governed by the laws of Thailand. Any disputes or claims arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the Civil Court of Bangkok, Thailand. By using Radiant`s services, you agree to submit to the jurisdiction of these courts for the resolution of any such disputes

Termination and Suspension

You agree and acknowledge that Radiant may suspend or terminate your access to the Radiant Service at any time, with or without cause, subject to you being able to redeem your Gems points (if any), in case of termination by us without cause. In case of termination for cause , we reserve the right to forfeit your Gems Points (if any). Without limiting the generality of the foregoing, Radiant may terminate your use of the Radiant Service and/or suspend your Profile if Radiant believes, at its sole discretion, that one (or more) of the following events have occurred: (i) there is a threat to the security or the integrity of your Profile, our network or our servers; (ii) you have violated these Terms of Use and/or Additional Terms; (iii) we are required to do so by any competent authority and/or by law. Upon termination, you may no longer access (or attempt to access) the Radiant Service. All provisions of these Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, warranty disclaimers and limitations of liability. Except for the redeeming of won Radiant Points, in case of termination by us without cause, you will not be entitled to any remedy for discontinuing the Radiant Services, all subject to our redeeming policy and applicable laws and regulations.

You may terminate your use of the Radiant Service at any time through the Account Settings on the Radiant app, following which Radiant will deactivate your Profile for 14 days. If there are no attempts to re-login within 14 days, your Radiant Profile shall be permanently deleted from our systems, except for certain information required for archival purposes.

User Obligations for Rewards and Redemption

Users must provide accurate information when participating in reward programs and during the redemption process. Unless explicitly permitted, users cannot transfer, exchange, or sell their rewards to other users.
All reward and redemption activities must adhere to the specific terms and conditions of the reward program and Users must redeem rewards responsibly and in a manner that upholds the integrity of the Radiant platform.
Users must keep their account information up to date to ensure proper receipt of rewards and notifications related to the reward program.

Entire Agreement, Severability, Waiver, Assignment

These Terms and Conditions and other legal notices published by Radiant shall constitute the entire agreement between you and Radiant concerning your access and use of Radiant Services. If any of the provisions of these Terms and Conditions shall be deemed invalid, void, or for any reason unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any of the remaining provisions of these Terms and Conditions, which shall continue in full force and effect. No waiver shall be deemed a further or continuing waiver, and Radiant’s failure to assert any right under these Terms and Conditions shall not constitute a waiver of such right. You agree that any cause of action arising out of or relating to the Radiant Programme must commence within 1 year after the cause of action arises, and otherwise is permanently barred. You may not assign or transfer these Terms and Conditions, but Radiant may assign the Terms and Conditions without restriction and without prior notice to you.
